1. SERVICES AND SCHEDULE

The Company provides academic tutoring and educational support services. The Company will make reasonable efforts to prepare for tutoring sessions and structure lessons in a manner intended to benefit the Student’s learning. Tutoring sessions will occur according to the schedule, subjects, and session lengths mutually agreed upon by the Company and the Client during the online booking process. Tutoring sessions may be conducted online or at another mutually agreed location. If the Student reserves a recurring time slot, that time slot is reserved exclusively for the Student. Repeated cancellations or rescheduling requests may result in the loss of the reserved time slot at the Company’s discretion.

2. FEES AND PAYMENT

Tutoring services shall be charged at the rate selected during the online booking process. The Company may offer promotional pricing, discounts, or introductory sessions. The Company reserves the right to modify tutoring rates upon seven (7) days written notice to the Client. Payment shall be made electronically through a payment method designated by the Company to the business account of Major Tutoring, LLC. The Client authorizes Major Tutoring, LLC to charge the electronic payment method provided for tutoring sessions, cancellation fees, or unpaid balances. The Company may require tutoring sessions to be paid in advance on a monthly basis. If required, the Client agrees to pay for the scheduled tutoring sessions for the upcoming month prior to the first tutoring session of that month. Monthly payments shall be based on the number of scheduled sessions at the applicable rate. Payment must be received before tutoring services for that month begin; the Company may suspend services if payment is not received when due. Unless otherwise agreed in writing by the Company, monthly payments are non-refundable once the tutoring time slots for that month have been reserved.

3. RESCHEDULING, CANCELLATION, AND LATE ARRIVALS

A tutoring session may be rescheduled without charge if at least twenty‑four (24) hours notice is provided. If less than twenty‑four (24) hours notice is given, the session may be charged at the full session rate. If the Company cancels a session prior to the scheduled start time, the Client may receive a refund or apply the payment to a future session. Sessions will begin at the scheduled time; if the Student arrives late, the session will still end at the originally scheduled time. If the Tutor arrives late, the session may be extended or the fee adjusted by mutual agreement. The Tutor will wait up to fifteen (15) minutes after the scheduled start time before considering the session canceled.

4. ONLINE PLATFORM AND RECORDING

Students must maintain access to a reliable internet connection and an online meeting platform such as Zoom, Google Meet, Microsoft Teams, or another mutually agreed platform. Recording of tutoring sessions is permitted only with the prior consent of the Company. Any recordings may be used solely for the Student’s personal educational use and may not be distributed, published, or shared without written permission.

5. OBLIGATIONS AND DISCLAIMERS

Company Obligations: The Company will make reasonable efforts to prepare tutoring sessions and maintain confidentiality of student information. The Company will not complete homework, projects, tests, examinations, or graded assignments on behalf of the Student. The Company is not required to provide assistance outside scheduled tutoring sessions. Student Obligations: The Student agrees to participate actively in tutoring sessions, identify areas where assistance is needed, and maintain necessary materials and technology required for tutoring. No Guarantee: The Company makes no guarantees regarding academic performance, grades, or examination results. Independent Contractor: Tutoring services are provided by the Company as an independent contractor.

6. TERMINATION AND LIABILITY

Termination: Either party may terminate this Agreement by providing five (5) days written notice. Termination does not affect payment obligations for tutoring sessions already completed. Limitation of Liability: To the fullest extent permitted by law, the Company shall not be liable for indirect or consequential damages. The total liability of the Company shall not exceed the tutoring fees paid within the thirty (30) days preceding the claim.

7. INTELLECTUAL PROPERTY & LEGAL PROVISIONS

All tutoring materials and educational content remain the intellectual property of Major Tutoring, LLC. This Agreement constitutes the entire agreement between the parties and supersedes prior discussions or agreements. This Agreement shall be governed by the laws of the State of Oklahoma. Venue for any dispute shall lie in courts located within the State of Oklahoma. If legal action is required to enforce this Agreement, the prevailing party may recover reasonable attorneys’ fees and costs. Severability: If any provision of this Agreement is found to be unenforceable or invalid under any applicable state law, that provision shall be severed, and the remainder of the Agreement shall continue in full force and effect.

8. ELECTRONIC SIGNATURE ACKNOWLEDGMENT

By completing the online registration and checking the required agreement box, the Client provides an electronic signature that shall be deemed an original signature under applicable law.
